1. Acceptance of Terms

By using our AI cloud-based software-as-a-service culture management platform (the “Service”), you agree to comply with and be bound by these Terms of Service (“Terms”). If you do not agree with these Terms, you may not use the Service.

 

2. Description of Service

Our Service provides diagnostic and predictive analytics, improvement recommendations on organizational culture metrics, employee engagement, and other organizational metrics. The Service is accessible via an internet browser, smartphone, tablet, or other internet-connected devices.

 

3. Account Registration

To use the Service, you must register for an account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

 

4. Use of the Service

You are granted a non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. You agree not to:

* Copy, modify, or create derivative works based on the Service.
* Distribute, sell, resell, lease, or rent the Service.
* Reverse engineer, decompile, or disassemble the Service.
* Use the Service for any illegal or unauthorized purpose.

 

5. Fees and Payment

The fees for the Service are specified in your Order Form. All fees are due within thirty (30) days of the invoice date. You are responsible for all taxes associated with the Service. In case of nonpayment, your access to the Service may be suspended or terminated.

We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or other reasons. We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.

 

6. Intellectual Property

All intellectual property rights in the Service and related materials are owned by us or our licensors. You retain ownership of all data you upload to the Service (“Customer Data”), but you grant us a non-exclusive license to use this data to provide and improve the Service.

 

7. Privacy and Data Protection

We will process Customer Data in accordance with our Privacy Policy and applicable data protection laws. You are responsible for obtaining all necessary consents from individuals whose data you provide to us and for ensuring that your use of the Service complies with applicable laws.

 

8. Confidentiality

Both parties agree to keep confidential all information disclosed by the other party that is marked as confidential or would reasonably be considered confidential. This obligation does not apply to information that is publicly available, was already known by the receiving party, or was independently developed by the receiving party.

 

9. Warranties and Disclaimers

We warrant that we will use commercially reasonable efforts to diligently provide the Services with skill and ability in accordance with industry standards. We do not warrant that the Service will be error-free or uninterrupted. The Service is provided “as is”  and we disclaim all other warranties, whether express or implied, including the implied warranties of merchantability and fitness for a particular purpose.

 

10. Limitation of Liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use of the Service; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the Service.

 

11. Indemnification

You agree to indemnify, defend, and hold harmless us and our affiliates, officers, agents, and employees from any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service, or your violation of these Terms.

 

12. Term and Termination

These Terms will remain in effect until your subscription expires or is terminated by either party. You may terminate your subscription at any time by providing written notice, in accordance with the termination provision set forth in your Framework Agreement. We may terminate or suspend your access to the Service if you breach these Terms and fail to cure the breach within thirty (30) days after receiving notice of the breach from us.

 

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Greece. Any disputes arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts located in Athens, Greece.

 

14. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you at least thirty (30) days before the changes take effect. Your continued use of the Service after the changes become effective constitutes your acceptance of the new Terms.

 

15. Force Majeure

Neither Party shall be liable for its failure to perform under these Terms due to circumstances beyond its reasonable control including but not limited to: riot, war, terrorist act, fire, flood, act of nature, accident, act of God, pandemic, epidemic, equipment unavailability not caused by the fault or neglect of such Party, embargo, or other circumstances beyond the reasonable control of the Parties, provided the affected Party immediately notifies the other Party in writing of any anticipated delay or failure of compliance and performs its obligations as soon as reasonably practicable after the conditions causing the delay or failure have subsided.
